Terms of Service

1. Agreement to Terms
By accessing and using Stead, a shared personal budget tracker ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to any part of these Terms, you may not use the Service.
These Terms constitute a legally binding agreement between you and Daniel Gamble (sole trader), ABN 15 639 096 880, trading as Stead ("we", "us", or "our"). They are governed by the laws of Victoria, Australia, and any dispute shall be subject to the exclusive jurisdiction of the courts of Victoria.
2. Eligibility
You represent and warrant that:
- You are at least 18 years of age.
- You have the legal capacity to enter into this agreement.
- You are not under any legal disability or contractual prohibition that would prevent you from using the Service.
- You comply with all applicable laws and regulations in your jurisdiction.
- You are not located in a jurisdiction that prohibits the use of this Service or access to our servers.
If you do not meet these requirements, you may not use the Service.
3. Account Creation and Responsibilities
When you create a Stead account, you agree to:
- Provide accurate, current, and complete information during registration.
- Maintain the confidentiality of your password and email address.
- Take sole responsibility for all activities that occur under your account, whether authorised by you or not.
- Notify us immediately of any unauthorised access or use of your account.
- Not share your account credentials with third parties or use the Service on behalf of someone else.
We are not liable for any loss or damage arising from your failure to protect your account credentials.
4. Acceptable Use Policy
You agree not to use the Service for any unlawful or prohibited purpose, including but not limited to:
- Money laundering, fraud, or financial crime.
- Harassment, abuse, or defamation of other users.
- Transmission of viruses, malware, or harmful code.
- Automated access or "scraping" of the Service without permission.
- Reverse engineering, decompiling, or attempting to derive the Service's source code.
- Circumventing security measures or accessing unauthorised systems.
- Submitting false, misleading, or impersonated information.
- Violating any applicable law or regulation.
We reserve the right to suspend or terminate your account if you breach this Acceptable Use Policy.
5. Intellectual Property Rights
Our Intellectual Property: All content, design, code, trade marks, and intellectual property within Stead are owned by us or our licensors. You may not copy, distribute, sublicense, or modify any part of the Service without our written consent.
User Content: You retain ownership of your personal financial data (transactions, budgets, goals). By using the Service, you grant us a worldwide, royalty-free, non-exclusive licence to store, process, and analyse your data to provide and improve the Service.
License to Use: We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for personal, non-commercial purposes only. You may not resell, redistribute, or commercialise access to the Service.
6. User-Generated Content and Export
You are responsible for all content you create, upload, or submit to the Service, including transaction descriptions, notes, budget labels, and goal names. You warrant that you have all necessary rights to such content and that it does not infringe third-party intellectual property rights.
Upon account termination, you may request a copy of your data in a portable format (e.g. CSV). We will provide this within 30 days upon written request.
7. Service Availability and Modifications
No Uptime Guarantee: The Service is provided on an "as-is" and "as-available" basis. We do not guarantee uninterrupted or error-free operation. The Service may be unavailable due to scheduled maintenance, emergency repairs, or infrastructure failures.
Changes to the Service: We reserve the right to modify, suspend, or discontinue the Service (or any feature thereof) at any time, with or without notice. We will make reasonable efforts to notify users of significant changes, but we are not obligated to maintain any specific feature.
Beta Features: Some features may be marked as "beta," "experimental," or "preview." These features are not guaranteed to work correctly and may be discontinued at any time.
8. Warranties and Disclaimers
Disclaimer of Warranties: The Service is provided "as is" and "as available," without any express or implied warranties. To the extent permitted by the Australian Consumer Law, we expressly disclaim all warranties, including:
- Merchantability, fitness for a particular purpose, or non-infringement.
- That the Service will be error-free, secure, or uninterrupted.
- That any defects will be corrected.
Note on Non-Excludable Rights (ACL): If you are a consumer under the Australian Consumer Law, certain statutory guarantees cannot be excluded, restricted, or modified, and nothing in these Terms attempts to do so. Where the law permits us to limit our liability for a failure to comply with such a guarantee, our liability is limited to the resupply of the Service.
Financial Advice Disclaimer: Stead is a personal budget tracking tool only. It is not financial advice. We do not provide investment, tax, or legal advice. Consult a qualified financial adviser for decisions affecting your finances.
9. Limitation of Liability
Cap on Damages: Except as prohibited by law, our total liability to you arising from these Terms or your use of the Service shall not exceed the total fees you have paid to us in the 12 months preceding the claim. As we do not charge fees, this cap is AUD $0.
Excluded Damages: In no event shall we be liable for:
- Indirect, incidental, special, consequential, or punitive damages.
- Loss of profits, revenue, data, or business opportunity.
- Loss arising from your reliance on the Service or any incorrect information.
- Unauthorised access to or alteration of your data.
- Loss of financial opportunity or missed investment gains.
Non-Excludable Liability (ACL): Nothing in these Terms limits our liability for death, personal injury, fraud, or breaches of non-excludable consumer guarantees under the Australian Consumer Law.
10. Indemnification
You agree to indemnify, defend, and hold us harmless from any claims, damages, costs, or liabilities (including reasonable legal fees) arising from:
- Your breach of these Terms.
- Your violation of any applicable law or third-party rights.
- User-generated content you create or submit.
This indemnity does not apply to the extent we are at fault.
11. Termination
Termination by You: You may terminate your account at any time by visiting Account Settings and selecting "Delete Account." A 30-day restore window applies, after which your personal information is permanently deleted in accordance with the retention periods set out in our Privacy Policy (including rolling 30-day encrypted backups).
Termination by Us: We may terminate or suspend your account immediately if you breach these Terms, violate applicable laws, or engage in conduct harmful to the Service or other users.
Effect of Termination: Upon termination, your right to use the Service ceases immediately. All provisions that survive termination (e.g. Intellectual Property, Limitation of Liability, Indemnification) shall remain in effect.
12. Dispute Resolution
Governing Law: These Terms and your use of the Service are governed by and construed in accordance with the laws of Victoria, Australia, without regard to conflict of law provisions.
Jurisdiction: You irrevocably submit to the exclusive jurisdiction of the courts of Victoria, Australia, and waive any objection to venue or inconvenient forum. If you use the Service as a consumer, nothing in this section deprives you of the protection of any mandatory consumer laws of your country of residence.
Informal Resolution: Before initiating legal proceedings, we encourage you to contact us to attempt to resolve the dispute informally. Contact us at the address in the Privacy Policy.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or by updating the "last updated" date at the top of this page. Your continued use of the Service after changes constitutes acceptance of the revised Terms.
14. Severability
If any provision of these Terms is deemed invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be severed, and the remaining provisions shall remain in full force and effect.
15. Entire Agreement
These Terms (together with the Privacy Policy and Cookie Policy) constitute the entire agreement between you and us regarding the Service and supersede all prior agreements, understandings, and negotiations, whether written or oral.
